// OVERVIEW

WalkMe spent a decade convincing enterprise software buyers that the solution to bad UX is not better UX but a $1.9 billion overlay that teaches employees how to use the bad UX they already paid for. The company pioneered digital adoption platforms — browser extensions and in-app guidance layers that walk users through complex enterprise workflows — and turned software friction into a recurring revenue stream that peaked at $269 million ARR before the market realized that AI chatbots could provide contextual help without requiring a separate SKU.

// TECHNOLOGY

WalkMe's platform injects JavaScript overlays into web and desktop applications to provide step-by-step walkthroughs, tooltips, automated workflows, and analytics on user behavior. The core insight was that most enterprise software is too complex for most users most of the time, and that training humans is more expensive than licensing software to train them. The technology works across Salesforce, SAP, Workday, ServiceNow, and custom enterprise applications without requiring source code access.

// WOWLS ASSESSMENT

// THREAT LEVELTERMINAL HYPE
peak valuation passed, smart money already left

WalkMe filed for IPO in April 2024 at a $1.5 billion target valuation, delayed it indefinitely in September 2024, then got acquired by SAP for $1.5 billion in November 2024 — a clean exit that avoided the public market reckoning the S-1 would have triggered. The company grew to $269 million ARR and 2,400 customers including 40% of the Fortune 500, but net revenue retention dropped from 117% in 2020 to 100% in 2024 as expansion sales collapsed. SAP bought distribution reach and customer analytics, not irreplaceable technology. The product category WalkMe invented is now being unbundled by Microsoft Copilot, Salesforce Einstein, and ServiceNow's native AI agents — all of which provide contextual guidance without requiring a third-party overlay that costs $50,000+ per year for mid-market deployments.

// WHY WOWLS HUNTS THIS

Because WalkMe proved that selling a solution to bad enterprise UX is a billion-dollar business right up until the moment the underlying platforms decide that AI-powered contextual help is table stakes and the overlay becomes redundant middleware. SAP acquired the company three months after its IPO delay because waiting longer would have meant watching the valuation compress further as Microsoft, Salesforce, and ServiceNow all shipped native AI guidance that does not require a separate contract.

// VALUATION NOTE

Company filed for IPO at $1.5B target valuation in April 2024, delayed in September 2024, then acquired by SAP for $1.5B in November 2024. Peak private valuation was approximately $1.9B in 2021 secondary rounds. ARR figures from S-1 filing.

VERDICT: TERMINAL HYPE — SAP paid $1.5 billion for customer analytics and Fortune 500 distribution reach, not technology the market still believes is defensible against AI copilots that provide the same guidance without the overlay tax
