Vonage operates two dying businesses bundled together: legacy VoIP for consumers who still care about home phone service, and Vonage Communications Platform (VCP) — a CPaaS layer offering voice, SMS, and video APIs built on infrastructure it does not own. Ericsson paid $6.2 billion for Vonage in 2022 to accelerate its Network APIs strategy — basically selling telecom carriers the tools to monetize 5G through developer-friendly APIs. Two years later Ericsson marked down Vonage's value by 82% and is reportedly exploring a sale at $1.11 billion, which tells you everything about how well the Network APIs thesis is performing. The consumer VoIP business that built Vonage is structurally irrelevant — landline replacement revenue declining 15% annually as the last users die or switch to mobile. The API business faces Twilio (profitable, $4 billion revenue, massive developer ecosystem) and a dozen smaller competitors who figured out that communications infrastructure is a margin-compressing commodity where scale is the only sustainable advantage. Vonage has neither the scale of Twilio nor the network ownership of Bandwidth, which leaves it selling undifferentiated API access in a market where price is the primary competitive variable.
