// OVERVIEW

TrueLayer built a $1 billion business by convincing banks to share customer data with third parties — then discovered the entire regulatory moat it relied on was a temporary EU mandate that Brexit carved out of and PSD3 is now rewriting. The company is an API layer between banks and fintech apps that exists because European regulators forced open banking in 2018, not because banks wanted it or consumers demanded it.

// TECHNOLOGY

Open banking infrastructure that translates fragmented bank APIs into standardized payment initiation and account data endpoints. The technology is competent but not defensible — it is middleware solving a regulatory compliance problem, and when the regulation changes or banks decide to build their own standardized APIs, the middleware becomes optional. TrueLayer's technical moat is that it integrated 200+ European banks before competitors did, which is a head start not a permanent advantage.

// WOWLS ASSESSMENT

// THREAT LEVELDANGEROUS
network effects or regulatory capture, approach with caution

TrueLayer grew during the five-year window when PSD2 mandated open banking but banks had not yet built compliant infrastructure themselves. That window is closing. Mastercard acquired Aiia and Vyne for combined $250M to build competing infrastructure. Visa bought Tink for $2.1B. The card networks are not building open banking APIs because they love innovation — they are building them because payment initiation threatens interchange revenue, and the only viable defense is to own the rails. Meanwhile UK regulators are proposing variable pricing models that would let banks charge for API access, which would convert TrueLayer's current zero-marginal-cost infrastructure into a business with structural COGS. The company has pivoted toward payment initiation as the primary revenue driver, but competing against Visa and Mastercard in payments is a different thesis than being neutral infrastructure, and the $1B valuation was priced on the infrastructure narrative.

// WHY WOWLS HUNTS THIS

TrueLayer's $1B valuation assumes open banking remains a neutral regulated utility that banks comply with reluctantly. The moment banks or card networks decide the threat to interchange revenue justifies building proprietary compliant infrastructure — which Mastercard and Visa have already signaled by spending $2.35B on acquisitions — the independent middleware layer becomes strategically vulnerable.

// VALUATION NOTE

Peak valuation based on 2021 Series E. No subsequent external funding rounds reported. Valuation likely lower on secondary markets but no confirmed markdown.

VERDICT: DANGEROUS — MASTERCARD AND VISA SPENT $2.35B ACQUIRING COMPETING INFRASTRUCTURE BECAUSE PAYMENT INITIATION THREATENS $120B IN ANNUAL INTERCHANGE REVENUE, AND TRUELAYER IS NOW COMPETING AGAINST THE ENTITIES THAT OWN THE PAYMENT RAILS IT RELIES ON
